Launch an SPV for
tokens and digital assets
A Premium SPV built for token allocations, SAFTs and digital-asset positions. Investors contribute in USDC, USDT or wire, the SPV holds the position through its unlocks, and tokens, stablecoin or cash are distributed with a K-1 every year.
One vehicle for a token position
A crypto SPV pools investors to take a single position in a token project: a SAFT before launch, tokens bought on market or OTC, or equity with a token warrant. The SPV is the counterparty to the project, holds the position through its lockups and unlocks, and distributes to investors by ownership.
Token deals add three things a startup SPV doesn’t have: stablecoin funding, custody of the tokens, and tax events at each unlock. All three are handled inside the vehicle.
Every unlock recorded, every distribution by ownership
Most token allocations vest: nothing for a cliff period, then a share each month. The SPV receives each unlock, records it and distributes tokens or stablecoin to investors in proportion to what they put in. The chart shows a typical 6-month cliff and 12-month linear schedule.
Tokens arrive in the vehicle wallet and the receipt is recorded against the allocation.
Each investor’s share is calculated by ownership and sent in kind, or converted to USDC or cash, as the operating agreement allows.
Receipts and distributions flow into the vehicle’s partnership return and each investor’s K-1.

Built for how token deals actually work
Token projects want one counterparty, investors want to fund in stablecoin, and every unlock is a taxable event. A crypto SPV handles all three in one vehicle.
Fund in stablecoin
Investors contribute in USDC or USDT, alongside wire and ACH, into an account in the vehicle’s name.
Distribute tokens
Unlocked tokens go to investor wallets in kind, or are converted to stablecoin or cash, by ownership.
Pick the jurisdiction
Delaware, Cayman or BVI, depending on where your investors are and what the project requires.
Tax reporting included
Token receipts, unlocks and distributions are tracked for the vehicle’s Form 1065 and each investor’s K-1.
Custody made clear
A vehicle wallet with designated signers or a qualified custodian, set out in the operating agreement.

Which jurisdiction should a crypto SPV use?
+Delaware if your investors are mainly in the US. Cayman or the BVI if investors are international, the project is based outside the US or the project asks for an offshore buyer. See Offshore SPV.
Can investors contribute in stablecoins?
+Yes. USDC and USDT contributions are supported alongside wire and ACH, and are recorded against each investor’s subscription.
How are tokens held?
+In a vehicle wallet with designated signers, or with a qualified custodian for larger positions. The arrangement is set out in the operating agreement.
How are distributions handled?
+Each unlock is recorded. Tokens are distributed in kind to investor wallets, or converted to stablecoin or cash, in proportion to ownership and under the operating agreement.
What about taxes on token events?
+Token receipts, unlocks, conversions and distributions are tracked through the year. Allocations prepares the vehicle’s partnership return and delivers a K-1 to every investor.
Is a crypto deal a Standard SPV?
+No. Tokens and digital assets run on a Premium SPV, which supports any asset type and multiple closes. See the fee schedule for details.
