Custom SPV

An SPV built around
your deal’s terms

When the deal doesn’t fit a template: an unusual asset, a bespoke waterfall, several closes, side letters or international investors. Allocations structures the vehicle with you, then forms and administers it like any other SPV.

Custom SPVs explained

The same vehicle, with terms written for the deal

A Custom SPV is a Premium SPV whose structure is designed with you rather than taken from a template. The entity, bank account, onboarding, filings and K-1s work exactly as they do for a startup SPV. What changes is the asset it holds, how money comes back, how many times it closes and what the operating agreement says about governance.

Investors fund a loan and receive interest as it is paid

The SPV is the lender. Interest and principal come back on a schedule, and each payment is distributed to investors under the operating agreement.

What can be customized

Six things the structuring team sets with you

Everything else, from formation to K-1s, stays standard, so a custom structure doesn’t mean custom administration.

01

Asset

Private credit, royalties, collectibles, real assets, secondary blocks, or anything that doesn’t fit a standard template.

02

Economics

Preferred returns, hurdles, catch-ups, interest pass-through and carry defined the way the deal needs.

03

Closes

One close, several, or rolling, aligned to draws, tranches or a tender window.

04

Governance

Decision rights, consent thresholds, transfer rules and manager removal set in the operating agreement.

05

Jurisdiction

Delaware, Cayman or BVI, or a parallel structure for US and international investors together.

06

Investor types

Individuals, trusts, family offices, entities and international investors in one vehicle.

How it works

From scoping call to first close

Click a step to see the manager’s view.

01

Scoping

A call with the structuring team on the asset, the investors, the economics and the timeline.
02

Structure design

Entity type, jurisdiction, close schedule and waterfall agreed and written into a term sheet for the vehicle.
03

Documents

An operating agreement with the custom terms, plus subscription documents and any deal-specific agreements.
04

Formation and banking

The entity is formed, the EIN issued and the bank account opened in the vehicle’s name.
05

Onboard and close

Investors verify, sign and fund. Closes happen on the schedule set in the structure, and administration runs from there.

Questions

Before you structure

Every custom deal starts with a scoping call. Book a demo to walk through it with the team.

When do I need a Custom SPV?

+

When the asset, economics or close schedule don’t fit the Standard or Premium templates: private credit with draws, royalty interests, collectibles, multi-seller secondaries, or a bespoke waterfall.

How long does structuring take?

+

Simple variations take days. Deals with new agreements, security interests or several closes take longer, depending on counsel review. The team gives you a timeline at scoping.

Who drafts the deal documents?

+

Operating and subscription documents come from vetted templates with your custom terms. Deal-specific agreements, such as a loan or purchase agreement, are coordinated with counsel.

Can the vehicle have multiple closes?

+

Yes. Closes are set in the structure and can follow draws, tranches or a tender window.

Who controls the SPV?

+

You do. You remain the manager and make every decision. Allocations acts as administrator.

What does ongoing administration include?

+

Banking, distributions through the custom waterfall, capital account statements, Reg D filings, accounting and K-1s, for the life of the vehicle.
