Distribution as a Service

When a portfolio company exits, the platform that formed your SPV is not always the one you want sending money to LPs. Allocations takes the cap table as it stands today, calculates each investor's share, collects wire details, pays out, and keeps the record. The entity stays where it is.

01Works with SPVs formed on AngelList, Carta, Sydecar, or by your own counsel.
02No migration. No re-papering the entity. You upload a cap table and a distribution amount.
03Every LP gets a notice, a payment, and a line in a ledger you can hand to your accountant.

Who it's for

Syndicate leads with SPVs on a marketplace and an exit on the calendar

You formed the vehicle where the deal flow was. Years later the company sells, and the question is who runs the payout. Three situations we see most.

Case A
The company exited. The platform's tooling stops at formation.

You have proceeds in the SPV's account and a spreadsheet of LPs. You need pro rata math, carry, wire instructions for every investor, and a paper trail. We run that as a service against your existing entity.

Case B
You moved new deals to Allocations. Old SPVs are still elsewhere.

Each legacy vehicle can distribute through the same dashboard as your new ones. One ledger across platforms, one set of LP notices, one place your accountant looks at year end.

Case C
Partial liquidity: a secondary, dividend, or escrow release.

Smaller, recurring distributions are the ones that get done late or by hand. Set the amount, confirm the cap table, and the run goes out the same way every time.

Compared with doing it yourself

What a distribution actually involves

A single payout to 40 LPs touches six pieces of work. Here is where each one lands.

StepDoing it yourselfWith Allocations
01Cap table
Export from the platform, reconcile against your own records, fix stale ownership percentages by hand.
Upload the export. We check totals against the raise and flag anything that does not sum to 100%.
02Waterfall
A spreadsheet with pro rata, management fee catch-up, and carry. One wrong cell affects every LP.
Calculated from the terms in your operating agreement and shown per investor before anything is sent.
03Wire details
Email every LP, chase replies, verify account numbers, store them somewhere safe.
Investors confirm or update banking details in their own portal. Verified before the run.
04Payments
Dozens of manual wires from the SPV bank account, each one typed and approved.
One approved run. Each payment is traceable to a line in the distribution schedule.
05LP notices
A mail merge with the amount, the math, and a reminder of what the exit was.
Each LP gets a notice with their share, the calculation, and the payment reference.
06Tax and records
Hand the accountant a folder of emails and bank statements at year end.
A distribution ledger per vehicle, exportable for your tax preparer.
