FIRPTA and Non-US Investor Withholding in an SPV

FIRPTA SPV withholding is the shorthand GPs use when a deal vehicle has non-U.S. LPs or U.S. real property interest (USRPI) exposure. FIRPTA (Foreign Investment in Real Property Tax Act) is the IRC section 1445 regime on dispositions of USRPIs by foreign persons. Partnerships with foreign partners also face separate IRC section 1446(a) ECI withholding and section 1446(f) interest-transfer withholding. This is general information, not tax advice.
Nothing here designs a blocker, elects a treaty rate, or clears a subscription. Confirm facts with counsel and a tax advisor. Collect investor certificates early -- see W-9 vs W-8BEN for SPV investors.
What FIRPTA covers (and what it does not)
The IRS FIRPTA withholding page (fetched 4 Sep 2026) states that the disposition of a U.S. real property interest by a foreign person (the transferor) is subject to FIRPTA income tax withholding. A "disposition" for this purpose includes sale, exchange, liquidation, redemption, gift, and other transfers for IRC purposes.
Key published points from that page:
The buyer (transferee) is the withholding agent in most cases and must determine whether the transferor is a foreign person.
The general withholding rate is 15% of the amount realized (10% for dispositions before 17 Feb 2016).
Amount realized includes cash paid or to be paid (principal), FMV of other property transferred, and certain liabilities assumed or to which the property is subject.
A U.S. real property interest includes an interest (other than as a creditor) in U.S. real property and certain associated personal property, and can include an interest in a domestic corporation that is a U.S. real property holding corporation (USRPHC) during the applicable testing period -- subject to listed exceptions.
When a U.S. business entity such as a corporation or partnership disposes of a USRPI, the business entity itself is the withholding agent.
FIRPTA is not the only non-U.S. LP withholding topic. A vanilla VC stock SPV with no USRPI may still have chapter 3 / chapter 4 issues on FDAP, or section 1446 issues if the partnership has effectively connected taxable income. Do not tell foreign LPs "no real estate, no withholding" without advisor sign-off.
IRS Publication 515 (2026), Withholding of Tax on Nonresident Aliens and Foreign Entities (fetched 4 Sep 2026), is the withholding agent's handbook for chapter 3, chapter 4, partnership ECI withholding, section 1446(f), and USRPI rules. Use the current publication and form instructions; rates and e-file thresholds change.
Partnership withholding that sits next to FIRPTA
The IRS Partnership withholding page (fetched 4 Sep 2026) separates two IRC 1446 regimes that matter for SPV GPs:
Section 1446(a) -- ECI allocable to foreign partners. A partnership (foreign or domestic) with income effectively connected with a U.S. trade or business must pay withholding tax on ECTI allocable to foreign partners. Partner status generally comes from the withholding certificate the partner provides. Published current rates on that page: 37% for non-corporate foreign partners and 21% for corporate foreign partners (highest rates under IRC Section Section 1 and 11(b)). Report on Forms 8804 / 8805; pay with Form 8813. FDAP that is not ECI is a different regime (Forms 1042 / 1042-S under Section Section 1441-1443), generally 30% unless a treaty or exception applies.
Section 1446(f) -- transfers of partnership interests. On a transfer of a partnership interest where any gain would be treated as ECI under Section 864(c)(8), the transferee generally withholds 10% of the amount realized unless an exception applies. Final regulations generally apply to transfers on or after 29 Jan 2021 (with later effective dates for certain PTP and Section 1446(f)(4) rules). Reporting often uses Forms 8288 / 8288-A (and 8288-C for partnership withholding under Section 1446(f)(4)).
Overlap with FIRPTA exists when partnership interests are also USRPIs. Pub. 515 and the form instructions address coordination; this article does not resolve which form controls for a given transfer. That is an advisor call.
How this shows up in an SPV
Typical GP fact patterns (descriptive, not recommendations):
Non-U.S. LP in a VC stock SPV. Onboarding needs a valid W-8 series form (often W-8BEN or W-8BEN-E), not a W-9. Withholding depends on whether the partnership has ECI, FDAP, or a later disposition that triggers Section 1446(f) or FIRPTA. Many early-stage equity SPVs are discussed as low-ECI until an operating or real-property fact appears -- "discussed as" is not a ruling.
Premium SPV with real estate or USRPHC stock. USRPI analysis and FIRPTA / Section 1445 procedures move to the front of the close memo. Transferee or entity withholding can apply on disposition.
Secondary transfer of an SPV interest by a foreign LP. Buyer and partnership may have Section 1446(f) obligations; FIRPTA may also be in scope if the interest is a USRPI.
Distribution or redemption treated as a disposition. FIRPTA's "disposition" definition is broad; do not assume only arm's-length sales count.
Operational hygiene that is not tax advice:
Collect W-9 vs W-8 packages before wire (W-9 vs W-8BEN).
Store certificates with the subscription file and refresh when expired or facts change.
Tell the return preparer which LPs are foreign before K-1 season (SPV K-1s and taxes).
Do not promise foreign LPs a treaty rate from a pitch deck.
Regime | Typical trigger | Published rate (IRS pages fetched 4 Sep 2026) | Common forms |
|---|---|---|---|
FIRPTA Section 1445 | Foreign person disposes of a USRPI | Generally 15% of amount realized | Forms 8288 / 8288-A; 8288-B for certificates |
Section 1446(a) | Partnership ECTI allocable to foreign partners | 37% non-corporate / 21% corporate (current) | Forms 8804 / 8805 / 8813 |
Section 1446(f) | Transfer of partnership interest with Section 864(c)(8) ECI gain | Generally 10% of amount realized | Forms 8288 / 8288-A; 8288-C for (f)(4) |
Chapter 3 FDAP | U.S.-source FDAP to foreign person | Generally 30% unless treaty/exception | Forms 1042 / 1042-S |

This page does not:
Opine whether your portfolio company is a USRPHC.
Calculate amount realized or a withholding certificate application.
Recommend a C-corp blocker or foreign blocker (educational overview only in a separate insight).
Replace Pub. 515 or Forms 8288 / 8804 instructions.
If USRPI or foreign-LP facts are in the deal, put withholding on the closing checklist next to KYC and blue sky -- and give the file to a tax advisor before first close.
Does every SPV with a non-U.S. LP withhold under FIRPTA?
No. FIRPTA applies to dispositions of USRPIs by foreign persons. A foreign LP in a non-USRPI venture SPV may still face other withholding regimes (for example Section 1446 or chapter 3 FDAP). Ask a tax advisor which regime, if any, applies.
What rate does FIRPTA use?
The IRS FIRPTA page states the general rate is 15% of the amount realized (10% for dispositions before 17 Feb 2016). Exceptions and withholding certificates can change the amount remitted; those are form-instruction issues.
Is section 1446 the same as FIRPTA?
No. Section 1446(a) withholds on partnership ECTI allocable to foreign partners; section 1446(f) withholds on certain transfers of partnership interests; FIRPTA (Section 1445) withholds on USRPI dispositions. They can overlap on facts; they are not synonyms.
Which investor form should a non-U.S. LP provide?
Generally a Form W-8 series certificate (for example W-8BEN or W-8BEN-E), not Form W-9. See W-9 vs W-8BEN for SPV investors. Presumption rules apply if documentation is missing -- another reason to collect early.
Is this tax advice?
No. This is general information from IRS published materials. Allocations is not a tax advisor. Use counsel and a return preparer for your vehicle and LP roster.
