A partnership representative is the person (or entity) a BBA partnership designates each year to act for the partnership in IRS centralized partnership audit procedures. Under the Bipartisan Budget Act of 2015 (BBA) regime, that representative has sole authority to bind the partnership and the partners. Most multi-member deal SPVs that file Form 1065 need one unless they validly elect out. This is general information, not tax advice.
Allocations administers vehicles; it does not serve as your tax advisor or as a substitute partnership representative appointment. Confirm designations with counsel and the return preparer.
What the BBA regime changed
The IRS BBA centralized partnership audit regime page (fetched 4 Sep 2026) summarizes the post-2017 rules. For tax years beginning after 2017, partnerships are BBA partnerships unless they make a valid election out. The IRS comparison table on that page contrasts TEFRA's tax matters partner with BBA's partnership representative, and contrasts partner-level assessment under TEFRA with partnership-level imputed underpayment under BBA.
For a deal SPV that defaults to partnership (GP + LPs), that means:
Adjustments are generally determined at the partnership level.
The partnership representative -- not each LP -- is the IRS's point of contact.
Partners are bound by the representative's actions under the BBA procedures the IRS lists.
Do not confuse the partnership representative with the Delaware manager, the tax matters partner language left in an old OA, or the platform's support desk. Those are different roles. Update the OA and the Form 1065 designation so they match.
Who can be the partnership representative
The IRS page Designate or change a partnership representative (fetched 4 Sep 2026) states:
A partnership must designate a partnership representative on its tax return for each taxable year unless it makes a valid election out of BBA.
The designation for one taxable year is effective only for that taxable year.
The partnership may designate any person, an entity, or itself -- but the representative must have substantial presence in the United States.
If the representative is an entity, the partnership must also appoint a designated individual to act for that entity; the designated individual must also have substantial presence. Failing to appoint the designated individual makes an entity designation invalid.
Substantial presence (same IRS page) requires all of the following:
A U.S. taxpayer identification number.
A U.S. street address and a telephone number with a U.S. area code.
Availability to meet in person with the IRS in the United States at a reasonable time and place as determined by the IRS under Treas. Reg. Section 301.7605-1.
If the partnership representative is an entity, that entity must be in legal existence.
Authority is broad. The IRS lists actions that include extending statutes, entering settlement agreements, agreeing to a Notice of Proposed Partnership Adjustment (NOPPA), requesting modification of an imputed underpayment, agreeing to a final partnership adjustment (FPA), and making a push-out election. The partnership and the partners are bound by those actions. That is why GPs should treat the designation as a governance decision, not a blank Form 1065 field.
How to designate and how to change
Annual designation on the return. Enter the name, U.S. address, and phone number on Form 1065, Schedule B, Designation of partnership representative section (or Form 1066 Schedule M for REMICs). There can be only one partnership representative at a time for a given tax year. See Form 1065 for funds, SPVs, and LLCs and SPV K-1s and taxes.
Mid-cycle changes. Use Form 8979, Partnership Representative Designation or Resignation. The IRS designate-or-change page explains when a partnership may submit Form 8979 (for example, to the exam contact after Letter 2205-D / 5893 / 5893-A; with certain AARs; with Form 8985; with Form 8988; or when a statute extension is requested). A partnership representative or designated individual uses Form 8979 to resign. If the IRS notifies the partnership that no designation is in effect, the partnership has 30 days from the mailing date to submit Form 8979; otherwise the IRS will designate one.
Power of attorney. If the partnership representative wants someone else to represent it as partnership representative, it must file Form 2848. A new representative cannot simply keep a prior Form 2848; a new Form 2848 is required.
Valid actions of a former representative before a change remain valid. Changing the name on Schedule B does not unwind signed extensions.
Electing out of BBA (when eligible)
Not every small SPV must live under BBA procedures forever. The IRS Elect out of the centralized partnership audit regime page (fetched 4 Sep 2026) states that partnerships with 100 or fewer partners for the taxable year can elect out if all partners are eligible partners.
Eligible partners include individuals, C corporations, foreign entities that would be treated as C corporations if domestic, S corporations, and estates of deceased partners. Count Schedules K-1 required to be issued, and include all shareholders of any S corporation partner.
Partnerships are ineligible to elect out if they must issue a K-1 to partners that are partnerships, trusts, certain foreign entities, disregarded entities, estates other than of deceased partners, or nominees holding for another person.
That last list matters for SPV design. A disregarded feeder, a trust LP, or a partnership LP can block the elect-out even when headcount is under 100. Do not assume "under 100 LPs" equals elect-out. Confirm partner types with the tax advisor before checking the Form 1065 elect-out box (Schedule B / Schedule B-2 as the instructions require).
Electing out is optional and annual. It is not automatic because the SPV is "small." It is not a platform setting.
Topic | BBA default | Elect-out (if eligible) |
|---|---|---|
Point of contact | Partnership representative | Pre-BBA partner-level procedures apply as elected |
Who can be PR | Any person/entity/itself with U.S. substantial presence; DI if entity PR | N/A for that year if valid elect-out |
Partner types that block elect-out | -- | Partnerships, trusts, disregarded entities, certain foreign entities, nominees, etc. |
Where designated | Form 1065 Schedule B each year | Elect-out on the return per instructions |
Change mid-exam | Form 8979 to IRS contact / with certain filings | Follow elect-out instructions; confirm with advisor |

Practical checklist for SPV GPs
Name a partnership representative (and designated individual if the PR is an entity) that meets substantial presence.
Align the OA: who may appoint, remove, and indemnify the representative; whether push-out or partnership-pays is preferred if an imputed underpayment arises.
Put the same person on Form 1065 Schedule B every year you do not elect out.
If you want to elect out, verify partner-type eligibility, not just headcount.
Keep Form 8979 and Form 2848 in the compliance folder when designations change.
Do not treat Allocations support as the IRS partnership representative.
Published Allocations cash fees (fetched 4 Sep 2026 from fees): Standard SPV $9,950 one-time; Premium SPV $19,500 one-time; Fund $19,500/year. Additional fees may apply. Platform carry is 0%. Administration is not a BBA designation service and is not tax advice. Product pages: SPV, fund, banking.
Classification still matters upstream: a multi-member Delaware LLC defaults to partnership unless Form 8832 elects otherwise (SPV EIN and tax classification; check-the-box Form 8832). Disregarded single-member vehicles do not file Form 1065 and do not designate a BBA partnership representative for that disregarded year.
Does every SPV need a partnership representative?
Every BBA partnership that does not validly elect out must designate one on Form 1065 for each tax year. Most multi-member deal SPVs are BBA partnerships. Single-member disregarded vehicles do not file a partnership return for that disregarded year.
Can the GP entity be the partnership representative?
Yes, if it has substantial presence in the United States. If the PR is an entity, appoint a designated individual who also meets substantial presence. An entity PR without a designated individual is invalid under the IRS guidance fetched 4 Sep 2026.
What if we forget to designate anyone?
The IRS may determine that no designation is in effect and, after notice and a 30-day window to file Form 8979, designate a partnership representative itself. Do not leave Schedule B blank as a strategy.
Is electing out of BBA always better for a small SPV?
Not automatically. Eligibility depends on partner types as well as the 100-partner ceiling. Disregarded-entity LPs and partnership LPs can block elect-out. Ask a tax advisor whether elect-out fits the roster.
Is this tax or legal advice?
No. This summarizes IRS published BBA materials. Confirm designations, elect-outs, and OA language with counsel and a return preparer. Allocations is not a tax advisor.
