Single-Member LLC SPVs and Disregarded Entities

Single-Member LLC SPVs and Disregarded Entities

A disregarded entity SPV is usually a domestic single-member LLC (SMLLC) that the IRS does not treat as separate from its owner for federal income-tax purposes: the owner reports the activity on its own return unless the LLC files Form 8832 and elects corporation status. Add a second member and the default flips to partnership. This is general information, not tax advice; confirm classification with a tax advisor.

Do not treat this page as an election, a filing calendar, or a substitute for the operating agreement. Allocations administers vehicles; it does not give tax opinions.

When a single-member LLC is a disregarded entity SPV

The IRS Limited liability company (LLC) page (fetched 4 Sep 2026) states the defaults:

  • A domestic LLC with at least two members is classified as a partnership for federal income tax unless it files Form 8832 and elects corporation status.

  • A domestic LLC with only one member is treated as an entity disregarded as separate from its owner for income tax unless it files Form 8832 and elects corporation status.

  • For employment tax and certain excise taxes, a single-member LLC is still a separate entity.

The IRS Single member limited liability companies page (fetched 4 Sep 2026) expands the owner-reporting rule: if the SMLLC does not elect corporation status, its activities are reflected on the owner's federal return. If the owner is an individual, that often means Schedule C, E, or F on Form 1040. If the owner is a corporation or partnership, the LLC is reflected as a division of that owner.

Most deal SPVs are not disregarded for long. A Standard close with a GP member plus LPs is multi-member and defaults to partnership. The disregarded fact pattern shows up earlier or later in the life cycle:

  1. Warehouse / holdco. The GP entity owns 100% of a Delaware LLC that will later admit LPs.

  2. Buyout to one. After exit, every LP is redeemed and one member remains.

  3. Fund-of-one style. A single LP (or a single feeder) owns the entire vehicle -- confirm member count with counsel; marketing names do not set IRS classification.

Membership is a facts-and-documents event. The EIN can stay the same while classification changes. Ask the tax advisor whenever member count crosses one.

EIN and TIN rules for a disregarded entity SPV

Banks, registered agents, and Delaware filings often want a vehicle EIN even when income tax looks through to the owner. The IRS single-member LLC page (fetched 4 Sep 2026) is precise:

  • For federal income tax information returns and reporting, a disregarded SMLLC generally uses the owner's SSN or EIN. Example: a Form W-9 for a disregarded LLC owned by an individual should show the owner's TIN, not the LLC's EIN.

  • The LLC still needs its own EIN if it has employees, certain excise-tax obligations, or if a bank or state law requires a federal EIN for the entity.

  • Most new SMLLCs classified as disregarded will still obtain an EIN (Form SS-4) for banking and administration even when income tax looks through.

Sequence for a warehouse vehicle that will later become a multi-member deal SPV:

  1. Form the Delaware LLC.

  2. Obtain the vehicle EIN after state formation (SPV EIN and tax classification; IRS Apply for an EIN online).

  3. Open the dedicated account under the LLC's legal name and EIN as the bank requires.

  4. Admit LPs under the OA; classification typically becomes partnership once there are two or more members.

  5. File Form 1065 and issue Schedule K-1s under the partnership default unless counsel filed Form 8832.

Do not reuse a prior vehicle's EIN. Do not put the management company's EIN on LP K-1s once the SPV is a partnership. See Form 1065 for funds, SPVs, and LLCs and SPV K-1s and taxes.

Form 8832 if you leave the default

Leaving disregarded (or partnership) status requires Form 8832, Entity Classification Election. The IRS LLC page states the usual effective-date limits: an election generally cannot take effect more than 75 days before filing or more than 12 months after filing. Late-election relief exists in some cases; that is an instructions issue, not a platform toggle.

Deal syndicates rarely elect association (corporation) for the primary deal vehicle. A C corporation puts entity-level tax in the middle of a pass-through raise. This article does not recommend an election. It records that the default for a domestic SMLLC is disregarded for income tax, and that leaving the default is a filed Form 8832. Detail sits in Check-the-box election for an SPV (Form 8832).

Spouses in community-property states have a separate IRS path (Rev. Proc. 2002-69) that can treat a wholly owned husband-and-wife LLC as disregarded or partnership if they report consistently. Spouses in non-community-property states who co-own an LLC generally file as a partnership. That is a facts question for counsel, not a blog election.

Membership changes change classification without a form

Form 8832 is for elections. Member-count changes can reclassify an eligible entity without Form 8832. Treas. Reg. Section 301.7701-3(f)(2) (eCFR; fetched 4 Sep 2026) states that an eligible entity classified as a partnership becomes disregarded when membership is reduced to one member, and a single-member disregarded entity is classified as a partnership when it has more than one member:

  • Disregarded → partnership when a second member is admitted.

  • Partnership → disregarded when membership drops to one.

GPs who warehouse, then admit twenty LPs, have moved from disregarded to partnership. GPs who redeem everyone but themselves after an exit may have a disregarded entity again. File the partnership return as a final year when the facts call for it. Do not invent a corporate return because the marketing deck still says "SPV."

Delaware annual LLC tax and Certificate of Formation status are state-law issues. Federal disregarded treatment does not waive Delaware filings or the dedicated banking account KYC file.

Fees, product surface, and what this is not

On Allocations, formation and administration of the Delaware vehicle are cash products. Published prices fetched 4 Sep 2026 from fees: Standard SPV $9,950 one-time (up to 35 investors, one close, VC assets, five-year term); Premium SPV $19,500 one-time (up to 50 investors, multiple closes, any asset type); Fund $19,500/year. Additional fees may apply. Platform carry is 0% (SPV). None of those lines is an IRS user fee, a Form 8832 filing fee, or a tax opinion.

A fund LLC uses the same IRS classification grammar. Product capacity (249 VC / 99 non-VC investors, 30 assets included on the Fund SKU) does not change whether one member or twenty sets the default.

This page does not:

  • Elect disregarded or partnership status for your vehicle.

  • Tell you whether a warehouse should admit LPs into the same LLC or a new one.

  • Resolve employment-tax or excise-tax EIN use when the SMLLC has payroll.

  • Substitute for the OA's admission, transfer, and dissolution clauses.

Put the member roster, the EIN confirmation letter, and any Form 8832 in the closing binder. Ask the tax advisor the classification question every time membership changes. That is the operational job; the election and return are theirs.

Is every SPV a disregarded entity?

No. A disregarded entity SPV is the single-member default. Most multi-member deal SPVs default to partnership and file Form 1065. Confirm member count and any Form 8832 with a tax advisor.

Does a disregarded entity SPV need its own EIN?

Often yes for banking and state administration, even when income tax uses the owner's TIN. The IRS says a disregarded SMLLC without employees or listed excise liabilities may not need an EIN for federal income tax, but banks frequently require one. See the IRS single-member LLC page and SPV EIN and tax classification.

What happens when a second member is admitted?

The eligible entity that was disregarded generally becomes a partnership for federal income tax when it has more than one member, without needing Form 8832 for that change. Ask the tax advisor about short-period returns and K-1s.

Should we file Form 8832 to "become" disregarded?

No. Disregarded is the default for a domestic SMLLC that does not elect corporation status. File Form 8832 only if you are leaving the default (typically to association). See the Form 8832 insight; do not file from a blog.

Is this tax advice?
