SPV Tax Calendar & Filings for GPs

An SPV tax calendar for most multi-member deal vehicles taxed as partnerships centers on IRS Form 1065, Schedule K-1 furnishing, and any Form 7004 extension—plus separate state entity taxes such as Delaware’s annual LLC tax. For calendar-year partnerships, the regular Form 1065 due date is March 15 (with weekend/holiday rules). This is general information from IRS and Delaware primary sources, not tax advice.

Allocations administers vehicles; it does not prepare or sign Form 1065. Confirm deadlines with a return preparer against live IRS instructions. Product: SPV. Fees: fees. Banking: banking.

Who this calendar assumes

Per the IRS Instructions for Form 1065 (2025) (fetched 8 Sep 2026):

  • Form 1065 is an information return for partnerships. The partnership generally does not pay entity-level income tax; items pass through to partners.

  • A domestic LLC with at least two members that does not file Form 8832 is classified as a partnership by default and has the same filing requirements as domestic partnerships.

  • Every domestic partnership must file Form 1065 unless it neither receives income nor incurs expenditures treated as deductions or credits (narrow exceptions—do not self-apply from a blog).

Most Standard and Premium deal SPVs with a GP member plus LPs sit on this calendar. Single-member disregarded patterns are different facts. Broader Allocations education: SPV K-1s and taxes and Form 1065 for funds, SPVs, and LLCs. General partnership framing: IRS Publication 541.

Tax year ends

December 31

Regular Form 1065 due date

15th day of the 3rd month after year-end → March 15 for calendar-year partnerships

Weekend / holiday rule

If the due date falls on Saturday, Sunday, or a legal holiday, a return filed by the next business day is timely

TY2025 example

Instructions state calendar-year partnerships may timely file by March 16, 2026 because March 15, 2026 is a Sunday

Form 7004

File by the regular due date to request an automatic extension of time to file

Extension length

Form 7004 automatic extension is generally 6 months (confirm live Instructions for Form 7004)

Furnish Schedule K-1 (and K-3 if applicable)

On or before the Form 1065 due date including extensions

Source for due date and weekend rule: Instructions for Form 1065 (fetched 8 Sep 2026). Source for extension mechanics: Instructions for Form 7004 (fetched 8 Sep 2026). Fiscal-year SPVs use the same “15th day of the 3rd month after year-end” rule against their year-end date.

Penalties (high level—confirm live text)

The Instructions for Form 1065 describe:

  • Late filing of return: $255 for each month or part of a month (maximum 12 months), multiplied by the total number of persons who were partners during any part of the tax year, unless reasonable cause applies.

  • Failure to furnish information timely: a $340 penalty may be imposed for each Schedule K-1 (and Schedule K-3, if applicable) for which a failure occurs, with higher amounts for intentional disregard—confirm live instruction text before publishing marketing tables.

Do not treat this blog as a penalty calculator. Reasonable-cause explanations are handled after notices.

Electronic filing cue

Beginning in 2024, partnerships were required to file Form 1065 and related forms electronically if they file 10 or more returns of any type during the tax year (Regulations section 301.6011-3, as discussed in the Form 1065 instructions). Partnerships with more than 100 partners must e-file. Ask the preparer before assuming paper is fine.

Delaware annual LLC tax (separate calendar)

Federal Form 1065 does not replace Delaware entity tax. Per the Delaware Division of Corporations LLC/LP/GP Franchise Tax Instructions (fetched 8 Sep 2026):

  • Annual tax: $400.00

  • Due: on or before June 1

  • No annual report required for LLCs/LPs/GPs under that page

  • Late: penalty $200.00 plus 1.5% interest per month on tax and penalty

  • Assessed if the entity is active anytime during the calendar tax year; no proration

Put June 1 on the same ops calendar as March 15. Registered-agent spam is not the Division of Corporations—pay through official channels.

Month-by-month GP checklist

January. Freeze the member roster and TIN/EIN hygiene. Confirm whether the vehicle was a partnership for the full year. Decide early if issuer 1099s or brokerage packages will force a Form 7004.

February. Collect contribution/distribution logs, expense support, and brokerage statements. Brief LPs that K-1s may extend—do not promise March 1 delivery if books are incomplete.

By regular due date (typically mid-March). File Form 1065 or timely Form 7004. Extension extends time to file, not partner-level payment deadlines on personal returns.

April–August (if extended). Finalize capital accounts; prepare K-1s (and K-2/K-3 if required). Align with any issuer valuation packages.

By extended due date (commonly mid-September for calendar-year filers—confirm Form 7004). E-file Form 1065; furnish K-1 packages.

On or before June 1. Pay Delaware annual LLC tax if the entity is a Delaware LLC/LP/GP subject to that schedule.

After exit / orphan years. Keep the calendar alive until cancellation and final returns are done. A dormant SPV with an open certificate can still owe Delaware tax.

What the platform fee does—and does not—cover

Allocations published cash admin (/fees, fetched 8 Sep 2026): Standard SPV $9,950; Premium SPV $19,500; Fund $19,500/year; 0% platform carry. Those fees are not tax-preparation fees and do not include signing Form 1065. Banking rails: /banking. Deal admin scope: /spv. Program vehicles: /fund. Emerging managers: /emerging-managers.

Coordination tips that prevent April panic

  1. Put Form 7004 on the calendar in January if any data dependency is outside your control (issuer packages, brokerage 1099s, late wires).

  2. Tell LPs the difference between “books closed” and “K-1 furnished”—they are not the same date.

  3. Keep the Delaware June 1 payment in a shared ops tracker next to the federal milestones so state tax is not an orphan task.

  4. Archive e-file acknowledgments, K-1 delivery logs, and Delaware payment confirmations in the same binder as the OA.

  5. If you are migrating from deal SPVs into a /fund program, expect more capital activity and a heavier year-end package—budget preparer time accordingly (/emerging-managers).

What this page is not

  • Not tax advice or a filing service.

  • Not investment advice.

  • Not a complete list of every state withholding, composite, or blue-sky renewal.

  • Not authority to skip Schedules K-2/K-3—ask the preparer.
