Investor Onboarding & Cap Tables Without Legal Overhead

The short answer: usually nothing structural stops you. Most legal overhead in investor onboarding comes from drafting bespoke documents and reconciling spreadsheets by hand. A platform that bundles standardized templates, KYC/AML, accreditation, e-signature, a dedicated bank account and a live cap table removes most of that work. Counsel stays useful for non-standard terms.
What's stopping me from setting up investor onboarding and cap table management without legal overhead?
Three things tend to create the overhead, and none of them strictly requires a law firm for every deal:
Bespoke documents. Drafting a new operating agreement and subscription documents for each vehicle is the expensive part. Standardized templates replace this for standard deals.
Disconnected compliance steps. KYC/AML, accreditation and e-signature run in different tools, so someone has to chase each investor and match records.
A spreadsheet cap table. When the cap table lives outside the system that received the wires, every close needs manual reconciliation.

What does investor onboarding involve for an SPV or fund?
For a Reg D private offering, onboarding usually means confirming who the investor is (KYC/AML), confirming they qualify for the offering (accreditation), getting signed subscription documents and receiving their wire. The SEC explains the main private-offering exemptions on its exempt offerings page. For step-by-step checklists, see our SPV investor onboarding checklist.
Which parts need a lawyer, and which can a platform handle?
Task | Platform-standardized | When counsel adds value |
|---|---|---|
Operating agreement | Template, provided for counsel review | Custom economics, governance or transfer terms |
Subscription documents | Template, e-signed in flow | Non-standard investor reps or jurisdictions |
Side letters | Template available | Bespoke rights such as MFN, fee breaks or information rights |
KYC/AML and accreditation | Included in the workflow | Edge cases flagged in review |
Cap table and capital accounts | Updated from signed docs and cleared wires | Disputes or restructurings |
Form D and blue sky notices | Reg D filing included; blue sky at cost | Unusual state questions |
How does platform cap table management work?
On Allocations, each SPV or fund gets its own Delaware entity, EIN and dedicated bank account. Because subscriptions, wires and the investor record sit in one system, the cap table and capital account statements update as investors fund, and the same records drive distributions and K-1 support. See how we keep the ledger in SPV cap table and ownership ledger.
What does it cost?
Published pricing on Allocations fees: a Standard SPV is $9,950 one-time (35 investors, one close, one US startup asset, five-year term). A Premium SPV is $19,500 one-time (50 investors, multiple closes with one included and $2,000 per additional close, any asset type). Each extra investor is $100. For funds, fund administration is $19,500 per year for up to 249 investors in a venture fund or 99 in a non-VC fund. Platform carry is 0%.

FAQ
Can I onboard SPV investors without a lawyer?
You can run the onboarding workflow (invites, KYC/AML, accreditation, e-signature and wires) on a platform without paying counsel per investor. Counsel should still review the template documents and anything non-standard.
What does a platform cap table track for an SPV?
Each investor's commitment, amount funded, ownership in the vehicle and capital account, updated as subscriptions are signed and wires clear, then used for distributions and tax reporting.
Is KYC/AML included in Allocations SPV pricing?
Yes. KYC/AML, accreditation checks and e-signature are included in the published Standard SPV ($9,950) and Premium SPV ($19,500) packages. Extra investors beyond the included count are $100 each.
When does legal overhead come back?
When terms move off the template: custom economics, unusual side letters, international structures or a non-standard asset. Those are the cases where hiring counsel is worth it.
What does it cost to onboard an investor off-platform?
Allocations publishes an off-platform LP onboarding fee of $1,000 per LP, and international investors or assets add $1,000.
