Accredited Investor Onboarding for SPVs

Accredited investor SPV onboarding is an operations checklist, not a marketing funnel. You need the correct legal buyer, the accreditation path counsel selected, KYC and tax forms on that same name, and cleared funds before admission.

General ops guidance—not legal, tax, securities, or investment advice. Counsel owns Rule 506(b)/(c) selection and verification standards. Product: SPV. Humans: team.

Answer first

Onboard in this order: legal entity identity, offering-path questionnaire directed by counsel, KYC/AML as your admin requires, tax form (W-9 or W-8), subscription signature against the pinned OA, then wire instructions only after the vehicle account is live. Do not reverse the order to "move faster."

Primary-source context (confirm with counsel): Assessing accredited investors under Regulation D and SEC Regulation D.

Related: SPV investor onboarding checklist (prior wave) focuses on document packs; this post is the accreditation-and-ops sequence for conversion demos.

1. Separate identity from accreditation

Identity answers "who is buying?" Accreditation answers "under what offering path may they buy?" Mixing them produces a KYC file for Alex and a subscription for Alex Family Trust LLC.

Capture entity type early: individual, joint, trust, LLC, fund, IRA custodian. Custodial and IRA paths need extra time—start those soft-circles first.

2. Know which 506 path counsel selected

Rule 506(b) and 506(c) impose different issuer obligations around accreditation assessment and solicitation. Ops should not choose the path. Ops should store the evidence counsel and your process require, with retention that survives K-1 season and LP diligence.

For 506(c), self-certification alone is generally not enough under SEC educational materials—verification steps matter. Confirm current practice with counsel; do not treat this blog as a verification manual.

3. KYC/AML that matches the subscription

Whatever your admin's KYC standard is, the legal name on KYC must match the subscription and the expected remitter. When they diverge, pause wires until resolved.

Bad pattern: KYC the individual, subscribe the LLC, wire from the individual's bank.

4. Tax forms are onboarding, not year-end chores

Collect W-9 or W-8 with the subscription. Missing forms become February emergencies. General IRS partnership context (not tax advice): IRS Form 1065. Confirm packaging with your preparer. See also K-1 season prep for SPV GPs.

5. Side letters visible to admin

If an LP gets fee, information, or transfer language outside the form OA, admin must see it before admission. Hidden side letters break reporting and waterfall math later.

6. Wire instructions after banking is live

Publish instructions only when the vehicle account exists. Banking path: banking. Never send LPs to a personal account "just this once."

Cleared funds must reconcile to the close sheet before you update the ownership register. Timeline: SPV close timeline from docs to wires.

7. What LPs should receive at onboarding

  • Deal narrative consistent with OA

  • OA / subscription packet with hash or version ID

  • Fee and expense language that matches published platform fees if you use a platform—link /fees rather than inventing numbers

  • Wire instructions with version ID

  • Expected reporting cadence (even if brief)

8. Demo questions buyers ask

When vendors pitch onboarding automation, ask:

  1. Can legal name, KYC, tax form, and subscription be blocked from diverging?

  2. Can we gate wires on vehicle banking status?

  3. Can we export accreditation file status without downloading personal documents into Slack?

  4. Can side letters be flagged on the close sheet?

If the answer is a screenshot of a pretty portal with no controls, keep shopping. Start comparison on /spv.

What this guide is not

  • Not a determination that any investor is accredited.

  • Not advice to choose 506(b) vs 506(c).

  • Not investment advice.

  • Not a substitute for counsel or your AML policy.

FAQ

What is the first step in accredited investor SPV onboarding?

Confirm the legal buying entity and soft-circle amount, then follow counsel's offering-path process before collecting wires.

Does a checkbox count as accreditation verification?

Under SEC educational materials for Reg D, self-certification alone is generally not sufficient—especially for 506(c). Confirm required steps with counsel.

When should tax forms be collected?

With the subscription, matched to the same legal name that will appear on the ownership register and K-1 contact list.

Can onboarding skip KYC if LPs are "known"?

Your admin and counsel set the standard. Ops should not waive KYC because someone is a friend from a prior deal.
