Form 1065 Filing Timeline for an SPV
A multi-member deal SPV taxed as a partnership generally files IRS Form 1065 each year and furnishes Schedule K-1s to members. For calendar-year partnerships, the regular due date is the 15th day of the third month after year-end (March 15), with Form 7004 available for an automatic extension of time to file. Who files Form 1065 for an SPV
Per the IRS Instructions for Form 1065 (2025) (fetched 7 Sep 2026):
Form 1065 is an information return for partnerships. The partnership generally does not pay entity-level income tax; items pass through to partners.
A domestic LLC with at least two members that does not file Form 8832 is classified as a partnership by default and has the same filing requirements as domestic partnerships.
Every domestic partnership must file Form 1065 unless it neither receives income nor incurs expenditures treated as deductions or credits (narrow exceptions exist — do not self-apply from a blog).
Most Standard and Premium deal SPVs with a GP member plus LPs are multi-member and on the Form 1065 calendar. Regular due date and the weekend rule
The 2025 Instructions for Form 1065 state:
Generally, a domestic partnership must file Form 1065 by the 15th day of the 3rd month following the date its tax year ended.
For calendar-year partnerships, the due date is March 15.
If the due date falls on a Saturday, Sunday, or legal holiday in the District of Columbia or the state in which you file, a return filed by the next day that is not a Saturday, Sunday, or legal holiday is treated as timely.
Calendar-year partnerships may therefore timely file their returns for the 2025 partnership year by March 16, 2026 (because March 15, 2026 falls on a Sunday, per the instructions).
Fiscal-year SPVs use the same “15th day of the 3rd month after year-end” rule against their year-end date.
Extension: Form 7004
To request more time to file, file Form 7004, Application for Automatic Extension of Time To File Certain Business Income Tax, Information, and Other Returns, by the regular due date of the partnership return. Form 7004 can be e-filed. See the Instructions for Form 7004.
Practical SPV notes:
The extension generally extends time to file Form 1065; it does not automatically extend partner-level payment deadlines on personal returns.
File Form 7004 even if books are “almost done” — late 7004 does not create a retroactive extension.
Many deal SPVs extend into September while waiting on issuer valuation packages, brokerage 1099s, or final capital account true-ups.

K-1, K-2/K-3, and e-file
Schedule K-1. Partners need K-1s to file their own returns. Furnish on or before the Form 1065 due date including extensions. Late or incomplete K-1s can trigger separate penalties under the Form 1065 instructions’ “Failure To Furnish Information Timely” discussion.
Schedules K-2 and K-3. International schedules may apply even to U.S.-centric SPVs in some cases, or may be avoidable under IRS exceptions with partner notice — see Schedule K-2 and K-3 for partnership SPVs.
Electronic filing. Beginning in 2024, partnerships were required to file Form 1065 and related forms electronically if they file 10 or more returns of any type during the tax year (Regulations section 301.6011-3, as updated). Partnerships with more than 100 partners must e-file. Hardship waivers and religious exemptions exist in the instructions — ask the preparer; do not paper-file casually.
Late filing penalty (high level)
The Instructions for Form 1065 describe a late-filing penalty assessed against the partnership if it is required to file and (a) fails to file by the due date including extensions, or (b) files a return that fails to show all required information, unless the failure is due to reasonable cause. The instructions state the penalty is $255 for each month or part of a month (maximum 12 months) the failure continues, multiplied by the total number of persons who were partners during any part of the tax year. Separate furnish penalties may apply for K-1/K-3 failures (amounts in the instructions include $340 per failure figures for failures to furnish — confirm live text before publishing penalty tables in marketing).
Do not treat this blog as a penalty calculator. Reasonable-cause explanations are handled after notices, not as attachments that magically prevent assessment at filing.
Operational timeline for a deal SPV
January. Confirm member roster, EINs/TINs, and whether the vehicle was partnership for the full year.
January–February. Collect brokerage statements, contribution/distribution logs, and expense support; decide on Form 7004 early if issuer data will lag.
By regular due date. File Form 1065 or timely Form 7004.
Through extended due date. Finalize capital accounts; prepare K-1s (and K-2/K-3 if required); e-file.
After filing. Deliver K-1 packages; archive the return, e-file acknowledgments, and notices.
