SPV Administration Checklist for Deal Closes
An SPV administration checklist for deal closes is the ops runbook from soft-circle to post-close ledger: docs pinned, KYC matched to legal names, vehicle banking live, wires released only to cleared LPs, funds reconciled, ownership register updated, and tax contacts archived. Use it as a close-week gate—not a dictionary definition of admin.
General close hygiene for emerging GPs and syndicate leads—not legal, tax, securities, or investment advice. Counsel owns the offering; the bank owns CIP. Product: SPV. Banking: banking. Fees: fees. Humans: team.
Close administration checklist
Phase | Admin task | Done when |
|---|---|---|
Pre-close | Soft-circle legal names + entity vs individual | Invite list matches who will subscribe |
Pre-close | Pin OA + subscription booklet version | One hash shared with all LPs |
Pre-close | Collect W-9/W-8 + KYC pack | Name on ID = name on sub |
Banking | Vehicle account live | Wire instructions exist for the SPV—not a personal account |
Close | Publish wires to cleared LPs only | Uncleared LPs cannot see instructions |
Close | Cleared funds vs close sheet | Dollars, names, amounts reconcile |
Post-close | Ownership / cap ledger update | Register matches OA admissions |
Post-close | Tax contact list archived | Emails ready for K-1 season |
Post-close | Expense / fee invoices filed | Matches OA + published SKUs |
Scope context: What SPV administration includes. Docs stack: SPV subscription docs checklist.
1. Pre-close: identity before capital
Admin fails when nicknames, wrong entities, or joint subscribers slip into the close sheet. Before wires: freeze the invite list to legal names; match accreditation files to counsel’s Reg D path (confirm with counsel; primary framing: SEC Regulation D); confirm side letters are scheduled where admin can see fee or reporting overrides. A side letter admin never sees becomes a year-end reporting bug.
Onboarding detail: SPV investor onboarding checklist. Treat the soft-circle list as a controlled document—not a Notion page edited mid-close.
2. Banking gate
Do not publish wire instructions until the vehicle account is open and named to the SPV. Personal accounts, lead accounts, and “temporary” routing create clawback and audit pain. Confirm who can change instructions and how LPs are notified. See /banking.
3. Close day controls
Admin’s job on close day is reconciliation, not cheerleading:
Cleared funds only count when the bank shows final credit in the vehicle account.
Amount on wire must match subscription amount (or a documented amendment).
Remitter name should match subscriber legal name; investigate mismatches before you admit the member.
Update the ownership register the same day you confirm funds—do not wait a week.
Snapshot the close sheet PDF into the close pack before anyone “cleans up” the spreadsheet.
4. Fee and expense alignment
Whatever LPs were told in the teaser must match the OA and the invoice. On Allocations (fetched 18 Sep 2026 from /fees): Standard SPV $9,950 one-time; Premium SPV $19,500 one-time; Fund $19,500/year; 0% platform carry. Additional fees may apply.
Quote live numbers only. Do not invent competitor fees—verify on each vendor’s current pricing page. Expense-policy literacy: SPV expense policy: what LPs expect.
5. Post-close handoffs
After close, admin should hand counsel the final pack (OA PDF hash, signed subs, side letters, tax forms) and hand the tax preparer a contact list. K-1 season starts with incomplete emails more often than with incomplete theory. Keep a single archive folder counsel, admin, and GP can all find without Slack archaeology.
6. When admin should escalate to a fund SKU
If you are closing the fifth near-identical deal SPV for the same LP base, compare stacking costs to /fund. Related: Stacking SPVs vs launching a fund. Administration checklists multiply faster than deal excitement.
Practical GP checklist
Pin OA + sub booklet before invites go wide.
Gate wires on vehicle banking + KYC clear.
Reconcile cleared funds to the close sheet same day.
Update ownership ledger before you announce “closed.”
Archive tax contacts and fee invoices in one folder.
If close week feels manual, book a walkthrough at /team or start on /spv.
What this checklist is not
Not AML program design or CIP policy.
Not a substitute for counsel’s closing binder.
Not investment advice.
